These Terms of Service ("Terms") govern your access to and use of the zenuem website and unified endpoint management platform (the "Service") provided by Zeniar ("Zeniar", "we", "us" or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance of terms
By accessing or using the Service you confirm that you can form a binding contract, and that you accept these Terms and our Privacy Policy. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
2. Accounts
You are responsible for maintaining the security of your account and for all activity that occurs under it. The Service uses passkey (WebAuthn) authentication; keep your authenticators secure. Notify us promptly of any unauthorised use of your account.
3. Subscriptions, trials and billing
- Trials. We may offer a free trial. No payment details are required to start a trial, and the trial ends automatically unless you subscribe.
- Fees. Paid subscriptions are billed in advance on a monthly or yearly basis through our payment provider, Stripe, in the currency shown at checkout.
- Renewals. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
- Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; access continues until then.
- Refunds. If you are not satisfied within the first 14 days of a paid subscription, contact us for a full refund, as described on our pricing page.
- Taxes. Fees are exclusive of taxes unless stated otherwise; you are responsible for any applicable taxes.
4. Acceptable use
You agree not to misuse the Service. In particular, you must not:
- use the Service to manage devices you are not authorised to manage;
- attempt to gain unauthorised access to the Service, other accounts, or our systems;
- interfere with or disrupt the integrity or performance of the Service;
- use the Service to violate any law or infringe the rights of others; or
- reverse engineer or attempt to extract source code except to the extent permitted by law.
5. Intellectual property and licence
The Service, including all software, agents, content and trademarks, is owned by Zeniar and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes for the duration of your subscription. You retain ownership of your data.
6. Service availability and disclaimers
We work hard to keep the Service available and reliable, but the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you may have under the Australian Consumer Law that cannot lawfully be excluded.
7. Limitation of liability
To the maximum extent permitted by law, Zeniar will not be liable for any indirect, incidental, special, consequential or exemplary damages, or for any loss of profits, data or goodwill. Where our liability cannot be excluded but can be limited, our total liability is limited, at our option, to re-supplying the Service or refunding the fees you paid in the three months preceding the event giving rise to the liability.
8. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or where required to protect the Service or other users. On termination, your right to use the Service ceases; certain provisions that by their nature should survive will remain in effect.
9. Governing law
These Terms are governed by the laws of Australia. You and Zeniar submit to the non-exclusive jurisdiction of the courts of Australia in respect of any dispute arising out of or in connection with these Terms or the Service.
10. Changes to these terms
We may update these Terms from time to time. We will revise the "Last updated" date above and, where appropriate, notify you of material changes. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
